Terms of Service
Version 1 · Effective · Last updated
These terms govern the use of Glassa. They are an agreement between easyloops Ltd and the organization that uses Glassa, and they also apply to everyone who signs in to it. By signing in to or using Glassa, you agree to them.
1. Who we are
Glassa is provided by easyloops Ltd, registered in England and Wales (company number 17250950). In these terms, "we" and "us" mean easyloops Ltd, "your organization" means the company or other organization whose workspace you use, and "you" means your organization and each of its members, as the context requires. You can reach us at hello@easyloops.ltd.
2. Who can use Glassa
Glassa is for businesses and other organizations, not for consumers. To use it you must be 18 or over, use it for work, and not be barred from it by sanctions, as our Acceptable Use Policy sets out. If you agree to these terms for your organization, you confirm that you have the authority to bind it.
3. Early access
Glassa is in early access. It is free to use, apart from any paid feature your organization agrees to under an order (section 13). We are still building it, so features may be added, changed or removed. Where we reasonably can, we will tell your organization before we remove a feature it relies on.
There is no service level agreement. We aim to keep Glassa available, but we do not promise any particular uptime, support response time or service credit, unless an order says so.
4. Accounts and workspaces
A workspace is open only to the people its organization invites or allows, and your organization decides which AI teammates it hires. Keep your password and the Google account you sign in with secure, and tell us at hello@easyloops.ltd straight away if you think someone else has used your account. Your organization is responsible for what is done through its members' accounts.
5. Your organization's data
Your organization owns the content created in its workspace: messages, files, meetings and notes, work items, team mail and the rest. We process the personal data in it as your organization's processor, under our Data Processing Agreement, which forms part of these terms. For accounts, sign-in, security logs and billing we are the controller, as our Privacy Policy explains.
We use your organization's content only to provide, secure and support Glassa. We do not use it to train AI models.
6. AI teammates
Your organization can hire AI teammates: AI agents that work in its workspace. A teammate acts on your organization's behalf, within the access your organization gives it, and your organization is responsible for what it does, as it is for its own staff. A teammate records what it does in an audit log your organization can review.
- Always disclosed as AI. Glassa shows a teammate as AI in your organization's people directory and on its profile. No one may present a teammate as a person. Your organization must make sure that everyone a teammate deals with knows it is AI, including people outside your organization and people in a call with it, as our Acceptable Use Policy requires.
- Where it runs. Today a teammate runs in the Glassa desktop app, on the computer of the member who hires it, and works through the AI model account that member connects to it, such as their own ChatGPT account. That computer and that account are your organization's choice and responsibility, and the account's own terms apply to it. We plan to offer teammates that run on a computer we provide, with our own model account, under an order.
- Pausing a teammate. We may pause a teammate that breaks these terms or the Acceptable Use Policy, or that puts Glassa or anyone else at risk (section 14).
7. AI output and human review
What AI writes in Glassa, including a teammate's work, meeting transcripts and notes, and summaries, can be wrong, incomplete or out of date, and similar output may be produced for others. We do not promise that any AI output is accurate, complete or fit for a particular purpose.
A person in your organization must review AI output before your organization relies on it, especially before using it in a decision about a person, in legal, financial, medical or safety matters, or outside your organization. Don't use AI features for the high-risk uses our Acceptable Use Policy forbids.
8. Code a teammate writes
A teammate can write code and change files in the repositories it is given access to. Your organization decides which repositories and what access, and must review and test a teammate's changes before merging, releasing or deploying them. Your organization owns the code a teammate writes for it (section 9) and is responsible for it as it is for code its own staff write, including checking that it does not bring in anyone else's code on licence terms your organization cannot accept. Because your organization decides what to merge, release and deploy, it is responsible for the results.
9. Intellectual property
We own Glassa: its software, design and brand. We license your organization and its members to use it under these terms.
Your organization and its members keep their rights in what they create and upload. As between us and your organization, your organization owns the output that Glassa's AI features and its teammates produce for it, to the extent the law allows anyone to own it, and we assign to your organization any rights we have in that output. You give us the limited licence we need to store, transmit, process and display your content to provide, secure and support Glassa. If you send us feedback or ideas, we may use them freely.
10. Other companies' services
Glassa works with services other companies provide, such as Google for sign-in, the AI model account a member connects to a teammate, and any other tool your organization connects. Their own terms and privacy policies apply to your use of them, between you and them. We are not responsible for them, and if one changes or stops working, the parts of Glassa that rely on it may change or stop too.
This is different from the companies that process data for us, which are named in our sub-processor list. We are responsible for them, as the Data Processing Agreement explains.
11. Meetings and calls
When someone turns on notes in a meeting or call, Glassa turns what is said into a transcript and notes, and a teammate in a call hears what is said. Laws on recording and listening to conversations can apply to both. Your organization is responsible for telling everyone in the conversation, guests included, and for getting any consent those laws require, as the Acceptable Use Policy sets out. What Glassa keeps from a meeting, and for how long, is in our Privacy Policy.
12. Acceptable use
Everyone in your organization's workspace, and every AI teammate it hires, must follow our Acceptable Use Policy, which forms part of these terms. In short:
- Use Glassa only for lawful work.
- Don't use Glassa to send spam, unsolicited bulk mail, or unlawful, harmful or deceptive content.
- Don't try to get into another organization's workspace, or test Glassa's security without our written permission.
- Don't use Glassa for the high-risk or prohibited AI uses the policy lists.
- Don't use Glassa, including its Interview meeting template, to recruit, screen, rank or evaluate job candidates, as the policy explains.
13. Fees, taxes and payment
Glassa is free to use in early access. A paid feature is charged only under an order your organization agrees to, which sets the price, what is charged and how it is billed. An order is either a purchase at our list price, or an order form your organization and we both sign for a deal at its own rate.
- Hired teammates: a teammate hired under an order is charged for each working day it is hired, billed monthly. A working day is Monday to Friday in your organization's time zone, except the public holidays of the country of its billing address. Weekends and those holidays are not charged. An order form may set its own calendar instead.
- Who sells to you at list price: a purchase at our list price is made through Stripe Managed Payments, and Stripe is the merchant of record and reseller. That means Stripe sells Glassa to your organization, collects the price and any tax, issues the receipt and makes any refund, and Stripe's own terms apply to the purchase.
- Who sells to you under an order form: easyloops Ltd sells to your organization and invoices it, and each invoice is due within the time it states, or 30 days if it states none.
- Taxes: prices do not include VAT or other sales taxes, which are added where they apply.
- Refunds: as the order says, or where the law requires.
- Late payment: if an amount is overdue, we will tell your organization in writing. If it is still unpaid 14 days after that notice, we may suspend paid features or the workspace until it is paid (section 14), and end access as section 15 describes.
14. Suspension
We may suspend a member, a teammate, or all or part of your organization's workspace:
- for a serious or repeated breach of these terms or the Acceptable Use Policy;
- for late payment, as section 13 describes;
- to stop harm to Glassa, the people who use it or anyone else, or where the law requires it.
We normally tell your organization's owners first and give them time to put it right. When the harm is serious or urgent, or the law forbids telling them, we act first and tell them after where we may. We lift a suspension once its reason has gone.
15. Ending: leaving Glassa, and deleting data
- You: you may stop using Glassa at any time. To have your own account deleted, write to hello@easyloops.ltd from its address, and we delete it within one month. What you created in your organization's workspace stays there, under its control.
- Your organization: your organization may leave Glassa at any time, subject to any minimum term in its order. Today its owner writes to us, and we give it a copy of its data if it wants one, then delete it, as section 11 of the Data Processing Agreement sets out. That section also describes how closing a workspace will work once we have built it.
- Us: we may end your organization's access for a serious or repeated breach of these terms that is not put right within 14 days of our notice, or at once if it cannot be put right; for late payment, as section 13 describes; or if we stop providing Glassa, with at least 30 days' notice. If we stop providing Glassa, we refund any fees paid for the time after access ends.
When access ends, sections 5, 9 and 15 to 20 continue to apply, as does section 13 for any amount already due, with any other part of these terms that by its nature should.
16. Warranties and liability
We provide Glassa with reasonable skill and care. Apart from that and what these terms say expressly, Glassa is provided "as is", and, to the extent the law allows, we give no other warranty, condition or promise about it, such as that it will always be available, be free of errors or be fit for a particular purpose.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited or excluded.
Subject to that:
- neither of us is liable to the other for indirect or consequential loss, or for loss of profits, revenue, business or goodwill;
- if data is lost or corrupted, our duty is to restore it from our most recent backup, where we can;
- our total liability to your organization in any 12 months, under or in connection with these terms, whether in contract, negligence or otherwise, is limited to the greater of £100 and the fees it paid us for Glassa in those 12 months.
These limits do not apply to your organization's duty to pay fees that are due, or to its duty to compensate us under section 17. Our duty to defend your organization under section 17 has its own limit, set out there, in place of the limit above.
17. Claims from others
Claims that Glassa infringes someone's rights. If someone else claims that Glassa, as we provide it, infringes their intellectual property rights, we will defend your organization against the claim and pay the damages and costs a court finally awards against it, or the settlement we agree to. We do this only for the parts of Glassa your organization pays for under an order, not for anything it uses free of charge. We do not do it for a claim to the extent it arises from:
- content or inputs your organization, its members or its teammates put into Glassa;
- output that Glassa's AI features or its teammates produce;
- the computer and the AI model account a member connects to a teammate, or any other tool or service your organization or its members connect to Glassa (section 10);
- Glassa used together with anything we did not provide, where Glassa alone would not infringe;
- a change to Glassa made by anyone other than us.
If Glassa is, or we think it is likely to be, the subject of such a claim, we may change it so that it no longer infringes, or replace it with something that does substantially the same job. If neither is reasonably possible, we may end your organization's use of the affected part of Glassa and refund the fees it paid in advance for the time after that. Our total liability under this part of section 17 is limited to the fees your organization paid us for Glassa in the 12 months before the claim was made. This part sets out everything we will do about a claim that Glassa infringes someone's rights.
Claims arising from your organization's use. Your organization will compensate us for any claim someone else brings against us, and for the losses and reasonable costs that result, to the extent the claim arises from content your organization, its members or its teammates put into or send from Glassa, from their breach of these terms or the Acceptable Use Policy, or from their breach of the law, including data protection law and the law on recording conversations.
How a claim is handled. Whichever of us is protected under this section must tell the other promptly about the claim, let it take charge of the defence and any settlement, and give it the help it reasonably asks for, at the cost of the one defending. The one defending will not agree a settlement that admits fault for the other, or puts a duty on it, without its agreement.
18. General
- Events outside our control: neither of us is liable for a delay or failure caused by events outside its reasonable control, such as the failure of a cloud or internet provider, a power cut, a natural disaster, war, or action by a government, as long as it tells the other and does what it reasonably can to limit the effect. This does not excuse paying fees that are due.
- Transfer: your organization may not transfer its rights or duties under these terms without our written agreement. We may transfer ours to whoever takes over Glassa or our business, and will tell your organization if we do.
- Notices: we send notices to your organization's owners by email or in Glassa. Your organization sends notices to us at hello@easyloops.ltd. An email notice counts as received when it is sent, unless the sender learns that it was not delivered.
- The whole agreement: these terms, the Acceptable Use Policy, the Data Processing Agreement and any order are the whole agreement between us about Glassa, and replace anything said or agreed before. Neither of us has relied on any statement not set out in them, though this does not limit liability for fraud. If they conflict, the order wins, then the Data Processing Agreement for personal data, then these terms, then the Acceptable Use Policy.
- If part fails: if a court finds part of these terms unenforceable, the rest stays in force.
- No waiver: if either of us does not enforce a term straight away, it can still enforce it later.
- No one else: no one other than your organization and us has rights under these terms, under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
19. Changes to these terms
If we change these terms in a way that matters, we will publish them as a new version, with the date it takes effect above, and tell organizations in Glassa or by email at least 30 days before the change applies. A change the law or security requires may apply sooner. If your organization does not accept a change, it may leave Glassa before the change applies, and we refund any fees it paid for the time after. Using Glassa after a change applies means accepting it.
20. Law, disputes and complaints
These terms, and any dispute about them or about Glassa, are governed by the law of England and Wales, and its courts have exclusive jurisdiction. Before going to court, tell us about the problem at hello@easyloops.ltd, and we will try to resolve it with you within 30 days. A complaint about how we handle personal data may also go to the UK Information Commissioner's Office, as our Privacy Policy explains.
